Sydney man found guilty of falsifying company documents |

| Taken from ASIC Website (publications,media centre)- www.asic.gov.au Mr Trevor Douglas Cohen of Balmoral, New South Wales, has been found guilty by a jury in the Sydney District Court on four counts of falsifying company books. The charges followed an investigation by ASIC. Mr Cohen pleaded not guilty at his trial, which commenced on 3 February 2009. ASICs investigation found Mr Cohen falsified the share certificates of Derivex Limited and Derivex Asset Management Limited by forging the signature of a co-director on both documents. He also signed the minutes of a meeting of directors of both companies, thereby falsely verifying that a meeting of directors for both companies had taken place in June 2003. The jury heard evidence that one co-director was unaware that he was listed as a company director, whilst the identity and the existence of a third director alleged to have been at the meetings could not be established. Mr Cohen was a director and the CEO of both companies at the time. Mr Cohen is due to reappear in the Sydney District Court for sentencing on 26 February 2009. A summary charge of engaging in misleading conduct in relation to financial services will be heard in the Downing Centre Local Court, with a date to be fixed. Mr Cohen was released on bail on the condition that he reside at a certain address, surrender his passport to the court, not approach any points of international departure, and to notify the court of any change of his address within 24 hours. The matter was prosecuted by the Commonwealth Director of Public Prosecutions. |

What is a Registered Agent? |

| A company may choose to deal directly with us, use the services of a casual lodging party, or may choose to use the services of a registered agent. A registered agent acts as an intermediary between ASIC and Australian companies, to help companies meet their lodgement obligations under the Corporations Act 2001 (the Act). A registered agent does not operate on our behalf but instead operates on behalf of companies who need to lodge information with ASIC. A registered agent: frequently lodges documents with ASIC, and/or represents at least one company by either frequently lodging documents or arranging payments on behalf of a company. |
Western Australia company director charged with insider trading |

| Taken from ASIC Website (2008 media releases)- www.asic.gov.au Mr Malcolm John MacCormick, of East Victoria Park in Western Australia, has been charged in relation to one count of insider trading by ASIC. The charges were brought following an ASIC investigation into Mr MacCormicks alleged trading in shares of the Australian Securities Exchange (ASX)-listed company, Walter Diversified Services Limited (Walter). ASIC alleges that Mr MacCormick was in possession of inside information when he procured the purchase of Walter shares in morning trade on 23 August 2007 shortly prior to an announcement by Walter to the ASX which detailed Walters acquisition of the business and assets of DJ & MB MacCormick Civil Engineering. ASIC alleges that at the time he procured the purchase of Walter shares, Mr MacCormick was a director of the private company from which Walter was acquiring the business and assets of DJ & MB MacCormick Civil Engineering and was also the manager of that business. The matter has been adjourned to 19 December 2008 for further mention in the Perth Magistrates Court. The matter is being prosecuted by the Commonwealth Director of Public Prosecutions. |
